MDDP advised on the sale of KO-MED Clinical Centers

MDDP’s Transaction Advisory team, in cooperation with Osborne Clarke law firm, advised KO-MED Clinical Centers, one of the leading clinical research companies in Poland, in its sale transaction to Velocity Clinical Research Inc.

KO-MED is a network of modern and thriving centres that accept patients from all over Poland for clinical trials. Its mission is to carry out research projects that give patients a chance to recover and contribute to the development of medicine. KO-MED has been in business for 20 years, having conducted hundreds of clinical trials.

Experts from MDDP (Bartosz Doroszuk, Jan Markowicz, Przemysław Wydra) advised KO-MED Clinical Centers in the reorganisation process preparing the company for the transaction and the tax verification of the transaction documentation, and supported the conduct of the buyer’s tax due diligence. Legal services for the transaction were provided by Osborne Clarke lawyers: Tomasz Olkiewicz, Aleksandra Sztajer and Jan Ośka. Factor Consulting also advised the sellers.

The entry into the Polish market by the US company Velocity Clinical Research Inc. marks the company’s expansion into the area of oncology research, which accounts for 40-50 per cent of global clinical trials. To date, more than 9,000 patients in eleven medical centres across Poland have participated in trials conducted by KO-MED. Velocity, which is the largest network of clinical trial sites in the United States, is also becoming one of the largest networks of clinical trial sites in Europe.
